 Sino Express Travel Limited (OTC: SXPT, www.sinoexpresstravel.com) has entered into a formal agreement with International Travel Systems Inc. (ITS), a wholly owned subsidiary of Wing On Travel (Holdings) Limited (HKSE: 1189), to acquire100% of Guangzhou Travel Information Systems Ltd. (www.yde.cn, ¡§GTIS¡¨), ITS's subsidiary based in Guangzhou China. GTIS owns a Business-to-Business e-commerce software, functioning as a product distribution system allowing travel businesses in China to trade inventory online. The transaction is expected to close by the end of third fiscal quarter in 2006.

Travoo is a joint venture between Guangdong China Travel Service (Holdings) Limited, one of the largest travel companies in China, and International Travel Systems Inc., a wholly owned subsidiary of Wing On Travel (Holdings) Limited, one of the largest listed travel companies in Hong Kong (HKSE: 1189). Travoo offers, both online and offline, bookings for hotels, airlines, attractions and other transportation ticketing. Travoo has established Travoo Agency Program (TAP)?offering its products to travel agents and currently, the TAP agency network has recruited more than 100 independent travel agents throughout southern China. International Travel Systems Inc. (¡§ITS¡¨) and Guangdong
China Travel Services (¡§GDCTS¡¨) entered into agreement
under which the parties agreed that, subject to the fulfilment
or waiver of certain conditions precedent, each of ITS
and GDCTS would contribute RMB25,000,000 to the joint
venture in return for a 50% interest in the issued share
capital of the joint venture company (¡§JV¡¨). The JV is
intended to be established with a view to providing ticket
